LEGACY TAX CONSULTANTS – AFFILIATE TERMS & CONDITIONS AGREEMENT

This Affiliate Agreement (“Agreement”) is entered into by and between Legacy Tax Consultants, LLC (“Company,” “we,” “our,” or “us”) and you, the affiliate (“Affiliate,” “you,” or “your”), effective as of the date you accept these terms.

By participating in the Legacy Tax Consultants Affiliate Program, you agree to comply with and be bound by the following terms and conditions.

1. Eligibility

To participate in the Affiliate Program, you must:

• Be at least 18 years of age.
  
  
• Have the legal authority to enter into this Agreement.
  
  
• Operate in compliance with all applicable laws, rules, and regulations.
  
  

We reserve the right to approve or reject any affiliate application at our sole discretion.

2. Affiliate Responsibilities

As an Affiliate, you agree to:

• Promote Legacy Tax Consultants truthfully and ethically.
  
  
• Refer qualified leads using the provided systems (i.e. affiliate links, forms, portals).
  
  
• Maintain professionalism and confidentiality in all client interactions.
  
  
• Avoid making any claims or guarantees on behalf of the Company without written approval.
  
  
• Only use approved marketing materials and language.
  
  

3. Commissions

• Commissions are paid on qualified, converted leads only (i.e. when the referred client signs a formal agreement and payment is received).
  
  
• Commission structures may vary depending on the service provided, and will be disclosed in writing.
  
  
• Payouts are typically made within 30 days of the Company receiving payment from the referred client.
  
  
• You are responsible for providing accurate tax and payment information (i.e. W9, bank details, etc.).
  
  

4. Client Ownership

• All referred clients remain clients of Legacy Tax Consultants.
  
  
• You may not independently service or solicit referred clients for similar services outside of our agreement.
  
  
• The Company reserves the right to reassign, manage, or terminate client relationships at its discretion.
  
  

5. Prohibited Conduct

Affiliates are strictly prohibited from:

• Engaging in deceptive, misleading, or unethical marketing.
  
  
• Promoting illegal tax schemes or unapproved financial products.
  
  
• Falsifying lead information or submitting fraudulent referrals.
  
  
• Using spam, bots, or unauthorized advertising to generate traffic.
  
  
• Acting as if you are an employee or agent of the Company.
  
  

Violation of any of these may result in immediate termination of this agreement and forfeiture of unpaid commissions.

6. Confidentiality

You agree to keep all client data, compensation terms, company materials, and internal communications confidential. Disclosure of any sensitive information without prior written consent is grounds for termination and potential legal action.

7. Independent Contractor Relationship

You acknowledge that you are an independent contractor and not an employee, partner, or representative of Legacy Tax Consultants. You have no authority to bind the Company in any way.

8. Marketing and Branding Guidelines

All use of Legacy Tax Consultants’ name, logos, or materials must follow our brand standards and be pre-approved if outside of the provided marketing kit. You may not create your own representations of the Company without express written permission.

9. Modifications

We may update this Agreement at any time. You will be notified of changes via email or dashboard, and continued participation after modifications constitutes your acceptance of the new terms.

10. Termination

Either party may terminate this Agreement at any time, with or without cause. Upon termination:

• You must cease all promotion and use of Legacy Tax Consultants materials.
  
  
• Any unpaid commissions for qualified, verified clients will still be paid.
  
  
• You may no longer claim affiliation or representation with the Company.
  
  

11. Limitation of Liability

Legacy Tax Consultants shall not be liable for indirect, incidental, special, or consequential damages, loss of profits, or any claims arising from your participation in the Affiliate Program.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

13. Entire Agreement

This Agreement constitutes the full and complete understanding between you and Legacy Tax Consultants regarding the Affiliate Program and supersedes all prior agreements or communications.

By joining the Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
